Terms of Service

The agreement between you and SoundFX for using the service — accounts, credits, acceptable use, and what happens if either of us ends it. SoundFX is currently in private preview, and this document is a working draft that has not been reviewed by a lawyer.

Who is bound, and what accepting means

  • The contracting party is SoundFX Pending

These terms are an agreement between you and SoundFX. No registered legal entity name for SoundFX is recorded anywhere in this repository, so none is invented here — this states the name we operate under until that record exists.

  • You accept these terms by creating a SoundFX account or by generating audio through the service, whichever happens first. If you do not agree with them, do not create an account and do not use the service.

What the service is

  • SoundFX is a browser-based tool for generating sound effects with AI. You describe a sound, the service sends that description to a third-party audio model — currently ElevenLabs — and returns generated audio, which you can then shape with a client-side effect rack and keep in your own saved sound library.

Accounts

  • One account per email address. Email addresses are normalised — trimmed and lower-cased — before they are compared, so a difference in case or surrounding whitespace resolves to the same account rather than creating a second one.

  • You are responsible for your account’s password and for anything done through your account. Contact legal@soundfx.app if you believe your account has been accessed without your permission.

  • Email addresses are not currently verified

Stated plainly: SoundFX does not send any email today, including a verification message. An account can currently be created with an email address the person creating it does not control, and nothing in the service checks for that.

Credits

  • How a credit is spent Pending

Generating audio costs 1 credit per generation. That is charged before the request reaches the upstream model, and refunded automatically if the request fails to return audio. Repeating a generation that is already cached costs nothing and spends no credit, because no new generation happens.

  • Plans and pricing Pending

The Free plan grants 10 credits once, for non-commercial use. The Pro plan is $12 per month, grants 500 credits every period, and lets your balance roll over up to 1000 credits. A one-off top-up of 200 credits costs $5. These figures are the current starting point rather than a settled decision, and may change before pricing is finalised.

Rights to the audio you generate

  • In short: you own the audio you generate, free of royalties, with no credit required. That is a summary, not the full position — what it does and does not cover, and what still depends on a plan decision that has not been made, is set out in full on the commercial-rights page linked below. This section defers to that page rather than restating it, and introduces no rights claim that page does not make.

What you grant us over your own inputs

  • By generating audio, you give SoundFX a limited licence to store, process and transmit the prompt text you enter — including sending it to the upstream model provider in order to generate the sound — and to store the audio you choose to save. That licence exists solely to operate the service for you; we do not use your prompts or saved audio for anything beyond that.

Acceptable use

  • Using SoundFX means agreeing not to:

    • Use the service for anything unlawful.
    • Violate the upstream model provider’s prohibited-use policy — the commercial rights this service passes on depend on staying inside it.
    • Resell or redistribute generated audio as a sound library, sample pack, or stock-audio catalogue — see the commercial-rights page for the line between shipping audio in your work and reselling it as raw assets.
    • Use generated audio, or the service itself, to train or build a competing AI audio model or service.
    • Circumvent the credit meter, or attempt to generate audio without it being charged.
    • Circumvent the access gate, or share preview access with anyone it was not granted to.
    • Access the service through automated bulk requests rather than the product itself.

Availability

  • SoundFX is currently in private preview: the whole site sits behind an IP allow-list, and access is not generally available. The service is provided as-is, with no uptime or availability commitment, and any part of it — including the allow-list itself — may change or be withdrawn without notice.

Warranties and liability

  • No warranty Pending

SoundFX disclaims all warranties, express or implied, about the service and the audio it generates — including any warranty of merchantability, fitness for a particular purpose, or non-infringement.

  • Limitation of liability Pending

SoundFX’s liability for a claim arising from your use of the service is limited to the amount you paid SoundFX in the preceding month, to the extent the law where you live allows that limit.

Termination

  • How you close your account Pending

There is no self-serve account-closure route in the product today. To close your account, email legal@soundfx.app and we will action the request.

  • When SoundFX may suspend an account

We may suspend or terminate an account for violating the acceptable-use section above, for non-payment on a paid plan, or for activity that abuses the credit meter or the access gate.

  • What happens to saved sounds and unspent credits Pending

What becomes of your saved sounds and any unspent credit balance when an account closes or is suspended has not been decided.

Changes to these terms

  • We may update these terms as the service changes. When we do, we update the effective date at the top of this page. Continuing to use SoundFX after a change takes effect means you accept the updated terms.

Governing law and disputes

  • Pending

These terms are governed by the laws of the State of Ohio, United States, without regard to its conflict-of-laws rules.

  • Pending

How a dispute under these terms would be resolved — for example, whether it goes through arbitration or the courts — has not been decided.
